These terms form part of every quote, reservation or rental contract with the Lessor (the “Contract”). The person signing the Contract is the “Lessee”.
1. Definitions
1.1 “Equipment”: all property rented or supplied by the Lessor and described in the Contract, including accessories, cables, cases, remotes, stands and packaging.
1.2 “Rental Period”: from the moment the Equipment is handed to the Lessee (pickup or delivery) until it is returned to and checked by the Lessor.
1.3 “Replacement Value”: the cost of replacing the Equipment with new property of the same make and model or, failing that, an equivalent, as shown for reference in Schedule A or the quote.
1.4 “Consumer”: an individual renting the Equipment for personal purposes within the meaning of the Consumer Protection Act. “Business”: any other Lessee. Clauses marked (Businesses only) do not apply to a Consumer.
2. Eligibility and identification
2.1 Age. The Lessee must be at least 18 years old. A minor may rent only in the presence of their father, mother or legal tutor, who then signs the Contract as Lessee and personally assumes all obligations under it.
2.2 ID. The Lessee must present two original, valid pieces of ID of their choice, at least one being government-issued photo ID (for example: passport, driver’s licence, permanent resident card, photo ID card). A health insurance card or driver’s licence is never required, though the Lessee may choose to present one. If the photo ID shows the Lessee’s address, it also serves as proof of address (section 2.3). The Lessor records only what is needed to establish identity (name, date of birth, address, type of ID checked).
2.3 Residence. The Lessee must reside in Québec and provide recent proof of address (under 90 days). The Lessor may, at its sole discretion, accept a Lessee residing outside Québec on the conditions in section 16.
2.4 Business. A Business must provide its legal name, business number and the identity of the authorized representative signing. The representative declares they are duly authorized to bind the Business.
2.5 Cancellation by the Lessor. The Lessor may cancel the rental before pickup or delivery if the ID or payment conditions are not met, if the Equipment becomes unavailable or defective, or for safety reasons or force majeure. It then refunds all amounts paid in full. Where the Equipment becomes unavailable or defective, the Lessor offers equivalent equipment where possible.
3. Reservation, deposit and payment
3.1 Equipment is reserved only once the signed Contract and a reservation payment of 50% of the rental price, applied to the balance, are received. This payment is separate from the security deposit in section 3.2.
3.2 Security deposit. A security deposit of at least $200 is required for a standard weekend rental. For rentals longer than 7 days, or where the total Replacement Value of the rented Equipment exceeds $2,000, the Lessor may require a higher deposit, up to 50% of the Replacement Value (subject to section 16). The deposit amount is stated on the quote before signing. It is collected before release, by pre-authorization on a credit card in the Lessee’s name or any other method the Lessor accepts. The deposit is refunded or the pre-authorization released within 5 business days after full return of the Equipment in good condition, less any amounts owed under the Contract. The deposit does not limit the Lessee’s liability.
3.3 Payment. Unless a written credit arrangement exists, the balance is payable no later than release of the Equipment. Any amount unpaid when due bears interest at 2% per month, an annual rate of 24%, calculated on the unpaid balance from the due date, not compounded.
3.4 Price. The rental price covers the reserved Rental Period. No refund is given for early return.
4. Cancellation
4.1 (Businesses only) If the Lessee cancels: more than 7 days before release, no charge for a rental without delivery and 25% of the Contract total for a rental with delivery; from 7 days to 48 hours before, 50%; less than 48 hours before or at release, 100%.
4.2 Consumer. A Consumer may cancel by written notice to the Lessor. The Lessor may then keep only the amount of its actual, demonstrable loss (for example, purchase or preparation costs incurred or a lost rental) and refunds the rest of the deposit.
4.3 Costs incurred for the rental. In case of cancellation, whatever its date, the Lessee also reimburses the Lessor for costs incurred specifically for the rental that cannot be recovered, including: items purchased or custom-made, special transport, and non-refundable deposits paid to suppliers (outside equipment rental, transport). These costs are invoiced with supporting documents. The Lessor informs the Lessee, in the quote or in writing, of any purchase, custom work or non-refundable deposit before committing to it.
4.4 Date change. A date change requested more than 3 days before release of the Equipment is accepted once at no charge, subject to availability, to a date within 12 months. Amounts paid are transferred to the new date. A cancellation after a date change is handled under section 4, based on the new date.
5. Ownership of the Equipment
5.1 The Equipment remains at all times the exclusive property of the Lessor. The Lessee acquires no right, title or interest in it other than the right to use it during the Rental Period under the Contract. The Equipment remains movable property even if attached or fixed to an immovable.
5.2 Prohibitions. Without the Lessor’s prior written consent, the Lessee may not sub-rent, lend, assign, sell, pawn (including to a pawnbroker or second-hand dealer), hypothecate or otherwise encumber or dispose of the Equipment, in whole or in part, or leave it in the custody of anyone not under the Lessee’s supervision.
5.3 Any act in breach of section 5.2 cannot be set up against the Lessor, is a serious default under the Contract, and entitles the Lessor to claim the Equipment from any third party, terminate the Contract immediately, and recover from the Lessee all costs incurred to get it back, including any amount the Lessor must pay a third party to regain possession.
5.4 The Lessee must not remove, cover or alter the Lessor’s serial numbers, labels, engravings or identification marks. The Lessee must immediately inform any third party claiming to seize or hold the Equipment that it belongs to the Lessor, and notify the Lessor without delay.
6. Use of the Equipment
6.1 The Lessee must use the Equipment prudently and diligently, only for its intended purpose, following the manufacturer’s and Lessor’s instructions, and only by competent persons under the Lessee’s responsibility.
6.2 Unless the Lessor agrees in writing, the Equipment must remain at the address stated in the Contract and may not be used outside Québec.
6.3 The Lessee may not, in particular: expose the Equipment to rain, humidity, liquids, excessive dust, sand, smoke, confetti, fire or extreme temperatures without protection approved by the Lessor; connect it to an inadequate or ungrounded power supply; exceed its rated capacity (load, power, volume); open, repair, modify or change its internal settings; apply tape, stickers, paint or staples to it; transport it without its cases or without securing it properly.
6.4 At release, the Lessee must inspect the Equipment and report any defect or missing item in writing. Otherwise the Equipment is presumed to have been released complete and in good working order, subject to latent defects.
6.5 If the Equipment stops working, the Lessee must stop using it and notify the Lessor immediately at 514-321-3211.
6.6 Inspection. During the Rental Period, the Lessor may, on reasonable notice, ask where the Equipment is and inspect it, and the Lessee will facilitate access.
7. Lessee’s liability: loss, theft and damage
7.1 The Lessee has custody of and is responsible for the Equipment throughout the Rental Period.
7.2 (Businesses only) A Business bears all risk of loss, theft, disappearance and damage to the Equipment during the Rental Period, whatever the cause, except normal wear and tear.
7.3 Consumer. A Consumer must compensate the loss resulting from the loss, theft or deterioration of the Equipment during the Rental Period, unless they prove that it was not caused by their fault or that of the persons they allowed to use or access the Equipment.
7.4 Theft or disappearance. The Lessee must notify the Lessor without delay, file a police report within 24 hours and give the Lessor the police file number. The Lessee then pays the Replacement Value of the missing Equipment, plus rent up to the date of that payment.
7.5 Damage. The Equipment is checked on return. The Lessee pays the actual cost of repair or cleaning (parts, labour and shipping to the repairer), on a detailed invoice or written estimate. If repair costs more than the Replacement Value or is impossible, the Lessee pays the Replacement Value. The Lessor notifies the Lessee in writing of any damage found within 5 business days of return.
7.6 Missing parts. If a cable, accessory or other item is missing on return, the Lessee has 10 business days to bring it back in good condition, with no additional rent for that item. During that period, the Lessor holds the portion of the security deposit matching its Replacement Value. When the period ends, the item’s Replacement Value is deducted from the deposit; if the deposit is not enough, the balance is invoiced to the Lessee or charged to their card under section 12.
8. Damage to persons and property
8.1 The Lessee is responsible for damage to persons and property, including the event venue, caused by the installation, use, transport or dismantling of the Equipment by the Lessee or persons under their responsibility.
8.2 The Lessee indemnifies and holds the Lessor harmless from any third-party claim arising from such damage, except to the extent caused by the Lessor’s fault or an Equipment defect.
8.3 The Lessor is not liable for installation or use by the Lessee, or for indirect losses (lost revenue, event cancellation), except for its intentional or gross fault and subject to any mandatory legal provision, including those protecting Consumers. Nothing in the Contract limits the Lessor’s liability for bodily or moral injury.
8.4 If the Equipment fails for a reason not attributable to the Lessee, the Lessor’s liability is limited, at its option, to replacing the Equipment or refunding the rental price of the defective Equipment, subject to section 8.3.
9. Insurance
9.1 (Businesses only) A Business must maintain, during the Rental Period, civil liability insurance of at least $2,000,000 per occurrence and all-risk coverage on the rented Equipment for its Replacement Value, and provide on request a certificate naming the Lessor as additional insured and loss payee.
9.2 Consumers are encouraged to check with their insurer whether their home insurance covers rented property and their liability at the event.
10. Return, extension and late return
10.1 The Lessee must return the Equipment complete, clean and in the same condition as at release, normal wear excepted, at the date, time and place in the Contract, packed in its cases. If the Lessor is to pick it up, the Lessee must gather it where it was delivered.
10.2 Extension. The Contract does not renew automatically. Any extension must be requested at least 24 hours before the end of the Rental Period and confirmed in writing (email or text) by the Lessor.
10.3 Late return. If the Equipment is not returned on time, rent continues at the daily rate stated in the Contract for each day or part of a day late, until the Equipment is returned or its Replacement Value is paid, without this being an authorized extension.
10.4 (Businesses only) A Business also reimburses any actual loss caused by the delay, including the cost of renting substitute equipment to honour another contract.
10.5 Non-return. If the Equipment is not returned within 72 hours after the end of the Rental Period and the Lessee does not respond to the Lessor’s notices, the Lessor may treat the Equipment as misappropriated, file a police report, recover it under section 11, and claim its Replacement Value, accrued rent and the charges set out in the Contract.
11. Default and recovery of the Equipment
11.1 If the Lessee fails to meet any obligation, in particular under sections 5, 6 or 10, the Lessor may, after notice, terminate the Contract and repossess the Equipment.
11.2 The Lessee authorizes the Lessor and its representatives to access, at any reasonable hour, the place where the Equipment is located in order to recover it, without use of force and within the limits allowed by law. Where the Equipment is in a place controlled by a third party, the Lessee will obtain the necessary access for the Lessor.
11.3 Recovery costs. The Lessee reimburses the Lessor’s actual and reasonable costs to locate, recover and restore the Equipment, including: transport and trucking, staff time (at $75 per hour per employee), dismantling, storage, amounts paid to a third party to regain possession, repair or replacement.
11.4 Legal costs. The Lessee bears the legal costs and disbursements awarded by the court (bailiff, service and enforcement fees). (Businesses only) A Business also reimburses the reasonable extrajudicial lawyer’s fees and collection costs incurred by the Lessor to enforce the Contract or recover the Equipment.
12. Card payment authorization
12.1 The Lessee authorizes the Lessor to charge the credit card provided for any amount owed under the Contract, including accrued rent, repair costs, Replacement Value and recovery costs.
12.2 Before any charge other than the initial rental price, the Lessor sends the Lessee a detailed invoice with supporting documents. The Lessee has 10 days to dispute it in writing, and the Lessor will not charge the card before that period ends, except for late-return rent under section 10.3.
13. Delivery, setup and waiting time
13.1 Unless otherwise stated, delivery and pickup include transport at ground level within 30 metres of the vehicle. Stairs, service elevators, extra distance and hours outside the agreed windows may incur charges shown on the quote.
13.2 Waiting time of $75 per hour per employee applies if delivery, setup, dismantling or pickup is delayed by factors outside the Lessor’s control, provided this rate appears on the quote.
13.3 The Lessee is responsible for obtaining, at its cost, any permits, authorizations and access required for the venue.
13.4 Cancellation on delivery day. A cancellation on the day of delivery or at delivery requires a Business to pay 100% of the rental price. For a Consumer, the Lessor keeps the actual loss suffered, including delivery and crew costs already incurred and the lost rental, under section 4.2.
13.5 Wrong address. If the delivery address provided by the Lessee is wrong, a new delivery is charged at the rate applicable to the correct address. The same applies to pickup if the pickup address provided is wrong.
14. Personal information
14.1 The Lessor collects the Lessee’s personal information only to establish identity, perform the Contract, collect amounts owed and recover the Equipment. It is shared only with those who need it for these purposes (such as police, a bailiff, a lawyer or an insurer) or where the law permits.
14.2 Information is kept only as long as needed for these purposes, then destroyed. Requests for access or correction go to the Lessor’s person in charge of the protection of personal information: Valerio Zeffiro and Anthony Zeffiro, info@ses-mtl.com.
15. Language
15.1 The Contract was provided to the Lessee in French. At the Lessee’s express request, after reviewing the French version, an English version may be provided. In case of discrepancy, the French version prevails.
16. Lessees residing outside Québec
16.1 The Lessor may, at its sole discretion, rent to a Lessee residing outside Québec on these additional conditions: (a) full payment before release; (b) a security deposit equal to 100% of the Replacement Value, unless otherwise agreed in writing with the Lessor, by pre-authorization on a credit card in the Lessee’s name; (c) the ID required by section 2.2 and proof of address; (d) an event address in Québec unless otherwise agreed in writing; (e) any other reasonable security stated on the quote.
16.2 A Lessee residing outside Québec acknowledges that the Equipment is released in Québec, that the Contract is entered into and performed in Québec, and accepts the jurisdiction of the Québec courts under section 17.
17. Governing law and courts
17.1 The Contract is governed by the laws of Québec and the applicable laws of Canada.
17.2 Any dispute is submitted to the courts of the judicial district of Montréal, subject to the right of a Consumer residing in Québec to bring or defend a claim before the court of their domicile.
18. General
18.1 The Contract (quote, these terms and Schedule A) is the entire agreement between the parties. Any change must be in writing.
18.2 If any provision is found void, unenforceable or not opposable, in particular against a Consumer, it is deemed reduced to the extent permitted by law, and the other provisions remain in force.
18.3 The Lessor’s failure to exercise a right is not a waiver of it.
18.4 The Contract may be signed electronically and in counterparts. A signed copy has the same value as the original.
18.5 Where several persons sign as Lessee, they are solidarily (jointly and severally) liable for all obligations under the Contract.
