1. Definitions

1.1 “Equipment”: all property supplied by the Supplier for the Event, including accessories, cables, structures, stages, cases and generators.

1.2 “Services”: delivery, installation, operation, dismantling and pickup of the Equipment, and any technical or design service in the quote.

1.3 “Event”: the event described in the quote. “Venue”: the indoor or outdoor place where the Event takes place. “Production Schedule”: the setup, Event and teardown times shown in the quote.

1.4 “Major Event”: any Event held wholly or partly outdoors, gathering more than 500 people, involving a stage, structure or rigging, or at which alcohol is served.

1.5 “Consumer”: an individual contracting for personal purposes within the meaning of the Consumer Protection Act. “Business”: any other Client. Clauses marked (Businesses only) do not apply to a Consumer.

2. Quote, booking and payment

2.1 Quotes are valid for 30 days. The price is based on the information the Client provides (Venue, Production Schedule, access, attendance). Inaccurate or incomplete information may lead to additional charges.

2.2 The booking is confirmed on receipt of the signed Contract and a deposit of 50% of the total. The balance is due no later than 5 business days before the Event, unless a written credit arrangement exists. Charges incurred during the Event (overtime, additions) are invoiced afterwards and payable on receipt.

2.3 Any amount unpaid when due bears interest at 2% per month, an annual rate of 24%, calculated on the unpaid balance from the due date, not compounded.

3. Changes

3.1 The Client may add Equipment or Services up to the day before the Event, subject to availability, at a price agreed in writing.

3.2 (Businesses only) Reductions in Equipment or Services requested less than 7 days before the Event are not credited.

4. Cancellation and postponement

4.1 (Businesses only) If the Client cancels: more than 21 days before the Event, no charge; from 21 to 8 days before, 25% of the total; from 7 days to 48 hours before, 50%; less than 48 hours before the Event or on delivery day, 100%.

4.2 Consumer. A Consumer may cancel by written notice. The Supplier keeps only its actual, demonstrable loss (including crew and subcontractors already booked, purchases and preparation completed) and refunds the balance.

4.3 Postponement. A postponement requested more than 21 days before the Event is accepted once without penalty, subject to availability, to a date within 12 months. The deposit transfers to the new date. A cancellation after a postponement is handled under section 4, based on the new date.

4.4 Costs incurred for the Event. In case of cancellation, whatever its date, the Client also reimburses the Supplier for costs incurred specifically for the Event that cannot be recovered, including: items purchased or custom-made, special transport, and non-refundable deposits paid to suppliers or subcontractors (outside equipment rental, transport, crew). These costs are invoiced with supporting documents. The Supplier informs the Client, in the quote or in writing, of any purchase, custom work or non-refundable deposit before committing to it.

5. Venue, access and logistics

5.1 The Client secures and provides at no cost to the Supplier: access to the Venue at the Production Schedule times; a loading dock or area and, if needed, a freight elevator; parking for a 14-foot box truck; secure storage for empty cases.

5.2 Unless the quote says otherwise, the price assumes ground-level access within 30 metres of the truck. Stairs, extra distance and undisclosed access constraints may incur additional charges.

5.3 The Client provides the Venue’s rules (access hours, restrictions, safety requirements) at least 10 business days before the Event. Charges imposed by the Venue or its in-house supplier (patch fees, Venue-required labour, rigging fees) are the Client’s responsibility unless included in the quote.

5.4 Cancellation on delivery day. A cancellation on the day of delivery or at delivery requires a Business to pay 100% of the Contract price. For a Consumer, the Supplier keeps the actual loss suffered, including transport and crew costs already incurred, under section 4.2.

5.5 Wrong address. If the Venue address provided by the Client is wrong, a new delivery is charged at the rate applicable to the correct address. The same applies to pickup if the pickup address provided is wrong.

6. Electrical power

6.1 Unless the quote provides that the Supplier supplies the power (generator or distribution), the Client provides adequate and safe electrical power meeting the Supplier’s requirements (number of dedicated circuits, amperage, distance). Otherwise, the Supplier may supply a generator at the Client’s cost or reduce the Services accordingly, without price reduction.

6.2 The Supplier is not liable for any outage or failure of power supplied by the Client or the Venue.

7. Rigging, structures and stages

7.1 Any rigging to the ceiling or a Venue structure must be authorized by the Venue, which confirms the rigging points and their capacity. Engineering plans, inspections and permits required by the Venue or authorities are at the Client’s cost unless included in the quote.

7.2 The Supplier may refuse or modify any rigging, structure or stage it considers unsafe.

7.3 Structures supplied by third parties. When Equipment is installed on or hung from a stage, tent or structure supplied by a third party: (a) the Client hires that supplier and ensures it is competent and insured; (b) before installation, the Client obtains from that supplier and provides to the Supplier written confirmation of the load capacity available for the Equipment; (c) the Supplier may refuse to install or hang any Equipment on a structure it considers unsafe or insufficient, without price reduction; (d) the Supplier is not liable for the failure of such a structure, except through its own fault, including exceeding the confirmed load, and the Client is responsible for damage to the Equipment caused by that failure.

8. Outdoor events

8.1 Site. The Client provides a flat, firm surface accessible to the truck, and a shelter or tent protecting the control position and sensitive Equipment, unless included in the quote.

8.2 Weather. The Supplier’s technical director may delay, suspend or stop setup or operation, lower structures, or cover or disconnect Equipment in case of winds exceeding the manufacturer’s limits or 50 km/h, storms or lightning within 10 km, heavy rain or extreme temperatures. This decision, made for people’s safety, is final and is not a breach by the Supplier; the price remains payable.

8.3 Permits. The Client obtains at its cost all required permits (public property use, noise, special event, stage) and complies with municipal bylaws, including noise and curfew rules.

8.4 Overnight security. When Equipment remains on site overnight or without the Supplier’s supervision, the Client provides adequate security at its cost and is responsible for the Equipment during those periods under section 12.

8.5 Crowd. The Client is responsible for crowd control, barricades and the safety perimeter around the stage, structures and control position.

8.6 Ground. The Supplier is not liable for marks, ruts or normal damage to lawns or grounds caused by truck access and installation of the Equipment, except through its own fault. Before the Supplier arrives, the Client identifies areas to avoid (sprinklers, septic tanks, fragile surfaces).

8.7 Weather warning. If Environment Canada issues a weather warning for the Venue before installation (including high winds or severe thunderstorms), the Supplier may, after notifying the Client, postpone or cancel the installation. The Supplier then keeps only the actual costs incurred and credits the balance of amounts paid toward a rescheduled Event within 12 months or, at the Client’s choice, refunds it.

9. Indoor events

9.1 The Client ensures the Event respects the Venue’s capacity and the fire code.

9.2 Haze or smoke machines require the Venue’s written authorization. Temporary detector bypass and any required fire watch are at the Client’s cost. Pyrotechnics are excluded unless separately contracted with a licensed pyrotechnician.

10. Safety

10.1 Only the Supplier’s staff may install, operate, move or modify the Equipment. The Client ensures its guests, employees and subcontractors do not touch the Equipment, climb structures or enter restricted areas.

10.2 The Supplier may suspend or stop the Services, without price reduction, if the safety of people or Equipment is threatened, or if its staff are subjected to harassment, threats or violence.

11. Crew and schedule

11.1 The Supplier assigns the crew set out in the quote according to the Production Schedule.

11.2 Any delay or extension not caused by the Supplier (late access, extended Event, postponed teardown) is billed at $75 per hour per crew member, or at the rate in the quote. Hours beyond 10 per day, after midnight or on a statutory holiday are billed at the premium rate in the quote.

11.3 Meals for the Supplier’s crew are agreed with the Client at the time of the agreement and stated in the quote. Where the quote provides for it, a daily allowance (per diem) of $95 to $125 per crew member, depending on the Event location, is billed. Where the Event requires the crew to stay overnight, lodging (one room per crew member) is provided by the Client or billed per the quote.

12. Client’s responsibility for the Equipment

12.1 Between delivery and pickup, the Client is responsible for loss, theft or damage to the Equipment caused by the Client, its guests, attendees, employees, subcontractors or Venue staff, or occurring while the Equipment is left without the Supplier’s supervision at the Client’s request or during the security period under section 8.4. The same applies to weather damage where the Client did not provide the protection required by section 8.1.

12.2 The Client is not responsible for damage caused by the Supplier’s staff or for normal wear.

12.3 The Client pays the actual repair cost or, if the Equipment is lost, stolen or beyond repair, its replacement value with equivalent new property. A Consumer does not have to pay if they prove the loss or damage was not caused by their fault or that of persons they are responsible for.

13. Insurance

13.1 Liability. Throughout the Production Schedule, the Client maintains commercial general liability insurance with an insurer authorized in Canada, covering bodily injury and property damage arising from the Event, of at least $2,000,000 per occurrence. For a Major Event, the minimum is $5,000,000 and the policy covers liquor liability where alcohol is served.

13.2 Additional insured. 9052-0552 Québec inc., its employees and subcontractors are named as additional insureds. The Client’s insurance is primary and non-contributory with respect to any insurance held by the Supplier.

13.3 Equipment. (Businesses only) A Business insures the Equipment against theft, vandalism and weather during the periods it is responsible for it under section 12, for its replacement value, with the Supplier as loss payee.

13.4 Certificate. The Client provides a compliant certificate of insurance at least 10 business days before the Event. Otherwise, the Supplier may refuse to deliver or suspend the Services, and section 4 applies as if the Client had cancelled.

13.5 Consumer. For a Major Event, a Consumer must hold event liability insurance meeting section 13.1. For other Events, they are encouraged to check whether their own insurance covers their liability.

13.6 Supplier’s insurance. The Supplier maintains its own commercial general liability insurance of at least $2,000,000 and provides a certificate on request.

14. Supplier’s liability

14.1 The Supplier performs the Services competently and according to industry standards. It is liable for damage caused by its fault or that of its staff.

14.2 If Equipment fails, the Supplier takes reasonable steps to repair or replace it on site. If part of the Services is not delivered, the Client receives a proportional credit.

14.3 (Businesses only) The Supplier’s liability is limited to the Contract price and excludes indirect losses (lost revenue, sponsorship or reputation), except for intentional or gross fault.

14.4 Nothing in the Contract limits the Supplier’s liability for bodily or moral injury, or the rights the law grants a Consumer.

15. Force majeure

15.1 Neither party is liable for a failure caused by force majeure (including government order, Venue closure, natural disaster or official weather ban).

15.2 If the Event does not take place for that reason, the Supplier keeps the price of Services already rendered and actual costs incurred. The balance of amounts paid is credited toward a rescheduled Event within 12 months or, at the Client’s choice, refunded.

16. Content and licences

16.1 The Client is responsible for the content it provides (videos, music, presentations, logos) and holds the necessary rights and licences, including for public performance of music.

16.2 Content is delivered to the Supplier at least 3 business days before the Event, in the requested formats. The Supplier is not liable for compatibility issues with content or devices supplied by the Client.

17. Ownership of the Equipment

17.1 The Equipment remains at all times the Supplier’s exclusive property, remains movable property even if fixed to a building, and may not be moved, lent, transferred or withheld by the Client or the Venue.

17.2 The Client allows the Supplier access to the Venue to recover the Equipment per the Production Schedule and reimburses actual recovery costs if access is refused or delayed.

18. Photos and promotion

18.1 Promotional use. The Supplier may photograph and film the Event, its installations and the Equipment, and use those images, the name of the Client and the Event, and a brief description of the Event on its website, social media and promotional material, at no cost or compensation. All published content presents the Event and the Client in a professional and respectful manner.

18.2 Identifiable people. The Supplier publishes the image of an identifiable person (guest, artist, speaker) only with that person’s consent, and promptly removes any image at the request of the person shown.

18.3 Opting out. The Client may, in writing before the Event, refuse any promotional use or ask that its name and brand not be mentioned, in particular for a confidential Event. It may also ask at any time for a post to be removed.

18.4 Excluded events. No image or information is published, without the Client’s written authorization, for an Event of a government, ministry or public body, or for an Event covered by a confidentiality agreement.

19. General

19.1 Personal information. The Supplier uses the Client’s information only to perform the Contract and collect amounts owed. Contact: Valerio Zeffiro and Anthony Zeffiro, info@ses-mtl.com.

19.2 Legal costs. The Client bears the legal costs awarded by the court. (Businesses only) A Business also reimburses reasonable extrajudicial lawyer’s fees and collection costs.

19.3 Language. The Contract was provided in French. An English version may be provided at the Client’s express request; the French version prevails.

19.4 Law and courts. The Contract is governed by Québec law. Any dispute goes to the courts of the judicial district of Montréal, subject to the rights of a Consumer residing in Québec.

19.5 The Contract (quote, Production Schedule and these terms) is the entire agreement. Changes must be in writing. A provision found void or unenforceable is reduced to the extent the law allows, and the rest remains in force.

20. Multi-year agreement (Businesses only)

20.1 Commitment. Where the quote provides for an agreement covering the same annual Event over several years (the “Multi-year Agreement”), the Client commits to retaining the Supplier’s Services for each year listed in the quote, at the prices agreed at signature.

20.2 Waiver. The Client waives its right to unilaterally terminate the Multi-year Agreement under article 2125 of the Civil Code of Québec. It may, however, terminate it if the Supplier commits a serious breach that it does not correct within 15 days of written notice.

20.3 Indemnity. If the Client gives the Services for a planned year to another supplier, or ends the Multi-year Agreement without a reason under section 20.2, it pays the Supplier, as agreed damages, 50% of the price of the remaining years, in addition to the costs incurred under section 4.4.

20.4 Cancelled event. If the Event does not take place in a given year, section 4 applies for that year. If it does not take place due to force majeure, section 15 applies.
